Publication of financial statements
The publication of financial statement data means that a company must regularly file its financial statements to the Trade Register maintained by the Finnish Patent and Registration Office (PRH). The liability to notify financial statements for publication in the Trade Register varies between company forms.
The filing obligation applies to the following company forms:
- limited liability companies and public limited liability companies
- a European economic interest grouping or a European company
- branches (mainly obliged to file notifications).
The filing obligation also applies to private entrepreneurs, general partnerships and limited partnerships if two or more of the following limits have been exceeded both in the most recent accounting period and the accounting period immediately preceding it:
- net sales EUR 7.3 million
- balance sheet total EUR 3.650 million
- personnel on average 50 people.
In addition, general partnership and limited partnerships whose partners or general partners include limited liability companies are obliged to file their financial statements.
Private entrepreneurs as well as general and limited partnerships must submit their notifications to the Trade Register within six months of the end of the accounting period. As a main rule, a branch of a foreign-based trader must also submit its notification within six months of the end of the accounting period.
Limited liability companies and cooperatives (liable to fill in Tax return form 6B) can submit their financial statements required by the Trade Register together with their electronic tax return, in which case the information and documents are transferred to the Trade Register from the tax administration and no separate notification to the Trade Register is needed. Tax returns must be submitted within four months from the end of the accounting period.
If an organisation files its tax return on paper, the Trade Register must be notified of possible information submitted with the tax return within two months from the verification of the financial statements by the General Meeting.
The financial statement information and documents to be filed to the Trade Register as well as the deadlines are available on the financial statement supplement forms of the Finnish Patent and Registration Office (PRH).
